MANAGEMENT TEAM & CODE OF ETHICS
All Veritec, Inc. employees and officers follow a strict code of ethics. This code was approved by the Board of Directors in 2007, and describes the company’s dedication to upholding the highest levels of business ethics and personal integrity in all types of transactions and interactions.
Van Thuy Tran became Executive Chairman of Veritec, Inc. in 2009 after serving as President and CEO of Veritec, Inc. since 1999. Prior to becoming President and CEO of Veritec, Ms. Tran was a successful executive and entrepreneur, having started and sold businesses in several different industries over two decades. In addition to her work with Veritec, Inc., Ms. Tran is co-founder of the Parents Aids Children Today, Circle of Love Foundation which brings hope to children and adults with severe physical deformities that need reconstructive or plastic surgery, and founder of the Caring for Others Foundation which provides education to homeless children in Viet Nam and HIV testing and treatment to people in South Africa.
Sam Rollins is a 36 year veteran of the Financial Services and Information Technology Industry. He has developed and managed all phases of technology development, operational procedures and management processes for major corporations and organizations throughout his career including Visa and Nike. Prior to joining Veritec, Inc., Mr. Rollins was Senior Vice President of Global Information Security for Visa USA, Inc. and was one of the developers and founding managers of Visa’s® Global Information Security Program. Prior to joining Visa®, Mr. Rollins was the Senior Manager of Networks at Nike, Corp. He led the team that developed Nike’s Global Financial and Product Design network, and their Information Security program. In addition to his roles at Visa® USA and Nike, Corp, Sam’s distinguished career has included key management roles at Standard Insurance Co. and AT&T.
Veritec's Code of Ethics
(As adopted by the Board of Directors of Veritec, Inc.; February 6th, 2007)
Veritec, Inc. has and will continue to uphold the highest levels of business ethics and personal integrity in all types of transactions and interactions. To this end, this Code of Ethics serves to (1) emphasize the Company’s commitment to ethics and compliance with the law; (2) set forth basic standards of ethical and legal behavior (3) provide reporting mechanisms for known or suspected ethical or legal violations; and (4) help prevent and detect wrongdoing. The values embodied in the Veritec, Inc. Code of Ethics are meant to guide the business decisions of our organization. The Code of Ethics tells us that we should strive to be trustworthy, to respect all people, to be responsible to our constituents and publics, fair in our dealings, and caring of the people we affect.
This Code of Ethics will apply to all officers, directors and employees of the Company.

We will always be honest and truthful.
We will adhere to the letter and the spirit of all applicable governmental laws, rules and regulations.
We will handle all actual or apparent conflicts of interest between personal and professional relationships in an ethical manner.
All public filings will contain full, fair, accurate, timely, and understandable disclosure.
All public communications will include full, fair, accurate, timely and understandable disclosure.
All employees will promptly report to the Board of Directors any violations of this Code.
We will protect employees who report violations of this code from unfair and undo repercussion by those accused.
All employees will be held accountable for adherence to this Code.
